B.A.S.E.X. Corporate Legal Disclaimer & Limitation of Liability

1. Nature of Services Badgley Aviation Systems & Excellence ("B.A.S.E.X.") provides independent consulting, advisory, and training services related to aviation safety, Safety Management Systems (SMS), Human Factors, and operational control. B.A.S.E.X. is an independent advisory firm and does not act as a regulatory authority, legal counsel, or a delegated representative of Transport Canada.

2. Client Responsibility and Regulatory Compliance All consulting advice, audit gap analyses, training materials, and operational recommendations provided by B.A.S.E.X. are intended to support and enhance the client's internal operations. The ultimate responsibility for regulatory compliance, safe flight operations, and adherence to the Canadian Aviation Regulations (CARs) and company-specific manuals (such as the Company Operations Manual) rests entirely with the client's Accountable Executive and operational management. B.A.S.E.X. assumes no responsibility for the implementation or execution of the advice provided.

3. No Guarantee of Audit Outcomes While B.A.S.E.X. utilizes industry best practices to prepare clients for regulatory and third-party audits, engaging our services does not guarantee a successful audit outcome, certification, or immunity from regulatory enforcement actions.

4. Limitation of Liability To the maximum extent permitted by applicable law, B.A.S.E.X., its principal, employees, and contractors shall not be held liable for any direct, indirect, incidental, consequential, or special damages, including but not limited to loss of revenue, operational downtime, aircraft damage, injury, or loss of life, arising out of or in any way connected to the consulting or training services provided. The maximum liability of B.A.S.E.X. under any contract or agreement shall be strictly limited to the total consulting fees paid by the client for the specific service in question.

5. Training Materials "As-Is" All training materials, including presentations on Human Factors and the "Dirty Dozen," are provided on an "as-is" basis. It is the responsibility of the client to ensure these materials align with their specific Approved Training Program and operational environment.

6. Governing Law All services provided by B.A.S.E.X. are governed by the laws of the Province of Alberta and the federal laws of Canada applicable therein.
